GENERAL TERMS AND CONDITIONS OF SALE

Applicable to vehicles benefiting from temporary suspension of taxes

This document describes the conditions of sale of a new vehicle by Renault

(Renault Courte Durée) to customers benefiting from tax exoneration.

1 – FORMATION OF THE CONTRACT

1.1 – Sales for cash or funded by credit solutions that are not covered by the

French law N°78.22 of 10 January 1978.

The contract comes into effect as soon as the order is signed and a down payment is made.

The customer (or financial establishment) must pay the balance when the vehicle is delivered and before the registration formalities are completed by the establishment, if it is appointed to do so by the customer.

1.2 – Credit solutions covered by the French law N°78.22 of 10 January 1978.

If the vehicle to which this contract applies is sold or delivered with the assistance of a financial establishment, the financing method (loan or lease with option to buy) must be specified in the contract.

The contract comes into effect as soon as the preliminary credit proposal has been accepted by the customer and a down payment has been paid that must not exceed the amount of the payment that the customer intends to settle in cash.

The customer (or financial establishment) must pay the balance when the vehicle is delivered and before the registration formalities are completed by the establishment, if it is appointed to do so by the customer.

1.2.1 – If the customer chooses the DIAC financial establishment, they authorize

Renault to make the preliminary credit proposal to DIAC and to receive the approval of the said proposal on their behalf.

1.2.2 – If the customer chooses another financial establishment, then they must take care of the preliminary proposal on their own. They must also inform the appointed establishment that the financial establishment has accepted or refused their application or that they have themselves decided to withdraw, no later than 7 days after the acceptance of the preliminary proposal.

2 – PRICE GUARANTEE – TECHNICAL CHANGES

2.1 – The price of the vehicle, excluding tax, specified in this contract is guaranteed for 3 months after the contract has been signed. If the stipulated delivery does not take place before this deadline and if the customer is not responsible for the delay, the price guarantee will be extended until the vehicle is effectively delivered, unless the delay is due to a case of force majeure.

2.2 – The price guarantee shall apply under all circumstances, unless the variation in price is the result of technical changes due to the application of regulations imposed by the authorities in France or in the country of import.

2.3 – Changes may be made to the vehicle due to technical developments, provided that the price is not increased and quality is not affected, and that the customer is able to mention the characteristics on which their commitment is conditional.

3 – DELIVERY

3.1 – Renault will deliver the ordered vehicle to the place and on the date specified on the back of this contract.

The customer will take delivery of the vehicle under the same conditions.

In the event of a case of force majeure, the customer and the appointed establishment will benefit from an extension of the agreed deadline lasting as long as the case of force majeure.

In view of the special conditions applying to the registration in France of this type of vehicle:

  • the registered vehicle benefiting from tax exoneration can only be delivered to the buying customer, who is the sole owner of the registration documents (unless the principal agrees to a derogation), once the customs authorities have verified that the conditions applying to tax exoneration are effectively met.
  • the customer agrees to rectify the customs situation of the vehicle as soon as the conditions applying to exoneration are no longer met.

3.2 – If the customer orders, with a credit solution covered by the French law N° 78.22 of 10.01.1978, a vehicle that is immediately available at the point of sale and demands an immediate delivery, they are entitled to shorten the 7-day right of withdrawal, stipulated by the law N° 78.22, to just 3 days.

In this case, they must specify, date and sign a request for early delivery on this contract as follows:

“I hereby request an immediate delivery. I have been informed that this request shortens the legal period to withdrawal. The latter will expire on the day when the vehicle is delivered and cannot be shorter than 3 days or longer than 7 days.”

3.3 – In accordance with the law 92.1442 relating to payment deadlines between companies, if the sums due are settled after the date of payment shown on the invoice, penalties for late payment of an amount equal to one and a half times the legal interest rate will apply.

4 - WARRANTY

The ordered vehicle is covered by the legal guarantee against latent defects specified by articles 1641 and following of the French Civil Code.

Under the terms of this contract for tax-free sale, it also benefits from the following, if the vehicle is used temporarily in France prior to export:

  • a contractual guarantee covering all duly observed defects in the vehicle sold: the Losange warranty, whose conditions of application are specified below, and whose main provisions are included in the maintenance log book (or the RENAULT SERVICE log book) handed over to the customer when the vehicle is delivered.
  • a corrosion warranty, whose conditions of application are specified below, and whose main provisions are included in the maintenance log book (or the RENAULT SERVICE log book) handed over to the customer when the vehicle is delivered.

When the customer exports the vehicle outside mainland France, the warranty conditions in their country of residence shall apply, whether the TT registration is kept or not, since it is the place of residence that determine the warranty conditions from which the customer benefits.

4.1 – The Losange Warranty

4.1.1 – How long does the Losange Warranty last?

For 2 years from the date of delivery or from the date of first registration shown on the registration documents, and with unlimited mileage.

4.1.2 – What does the Losange Warranty cover?

The customer benefits from the repair, free of charge (parts and labor), of any material or build defects duly detected in the vehicle at the customer’s initiative, and of any damage caused to other parts of the vehicle by this defect, by the repair or replacement of the defective part under the following conditions.

The Losange Warranty does not cover the indirect consequences of a defect (operating losses, etc.).

The customer pays the cost of maintenance in accordance with the manufacturer’s recommendations and of the normal wear to the vehicle.

Furthermore, the Losange Warranty does not apply to parts of the vehicle that have been transformed and does not cover the consequences (damage, rapid wear, deterioration, etc.) of the transformation on other parts of the vehicle or their properties.

Throughout the duration of the Losange Warranty, the customer benefits from 24x7 assistance from RENAULT Assistance. The conditions applying to the assistance are defined below.

4.1.3 – How does the Losange Warranty work?

In order to benefit from the Losange Warranty, customers must contact any member of the Renault network showing the brand’s sign, who are the only providers authorized to deliver the corresponding services. The Renault workshop repairer decides whether the part that is proven to be defective is to be repaired or replaced.

The customer must produce the duly completed maintenance log book (or Renault Service log book) provided with the vehicle, as proof that the maintenance operations recommended by the manufacturer have been completed.

Certain types of vehicle must be serviced between 1,000 and 3,000 km (see maintenance log book).

Labor is free of charge, but the customer pays for the lubricants and oil filter.

The customer must refer to a Renault workshop, the only providers authorized to make the corresponding repairs, as quickly as possible or inform the workshop in writing of the defect covered by the Losange Warranty and, if the vehicle is immobilized, must call on Renault Assistance. Otherwise, and outside the working days and hours of the nearest Renault repairer, or under exceptional circumstances (breakdown on a motorway), the customer can call on another local repairer, preferably a member of the Renault network, to have the vehicle recovered and repaired.

The Losange Warranty does not apply and the vendor shall not be held liable in the following cases:

  • When parts are installed or changes are made to the vehicle that are not authorized by the manufacturer.
  • When the observed defect is the result if the vehicle being repaired or maintained by a workshop that is not part of the Renault network.
  • When the vehicle is used under conditions that do not comply with the conditions specified by the manufacturer (examples: excess loads or taking part in sporting events of any kind whatsoever).
  • When the vehicle has not been properly maintained, and in particular when the instructions for the treatment, servicing and care of the vehicle included in the maintenance log book (or Renault Service log book) have not been followed.

If the vehicle is kept off the road for more than 7 days when undergoing repairs covered by the Losange Warranty, this period will be added to the remaining term of the Losange Warranty, as of the date when the customer requested the intervention and signed off the repair order.

Parts replaced under the Losange Warranty become the rightful property of Renault.

Outside mainland France and Corsica, the same conditions apply to the Losange Warranty as in the country of registration of the vehicle benefiting from the temporary exoneration of tax.

4.1.4 – Renault Assistance in mainland France and Corsica

The customer or the authorized driver and the persons accompanying the latter free of charge and within the limits of the number of seats specified in the registration documents are entitled to assistance under the conditions defined below.

  • - Cause

The vehicle is off the road further to an unforeseeable mechanical incident covered by the Losange Warranty, duly confirmed by the manufacturer and for which the customer or the driver is not responsible.

  • Delivery of assistance services

As soon as the customer call is received, and depending on the customer’s situation, Renault Assistance organizes and financially covers the services described below.

The customer must not pay any costs, apart from the costs of connecting travel and, in accordance with the applicable regulations, when the vehicle is recovered on a motorway.

In this case, customers must inform Renault Assistance as soon as they arrive in the garage receiving the vehicle.

CAUTION: Renault Assistance does not cover any costs incurred by the customer without its prior approval.

Users of Renault vehicles supplied by short-term rental companies only benefit from recovery and repair services.

  • On-the-spot repair / recovery

As far as is possible, Renault Assistance organizes the repair of the vehicle on the spot and as quickly as possible.

If this is not possible, the vehicle is towed to the nearest Renault workshop or, in certain European countries, to the nearest garage capable of making the repairs.

  • Dispatch of spare parts

If parts cannot be procured on the spot, Renault agrees to ship them to the repairer as quickly as possible.

  • Accommodation

If the vehicle remains immobile for more than 3 hours or cannot be repaired on the same day, the customer is entitled to wait for it to be repaired.

RENAULT organizes and pays a maximum of €60, or the equivalent in another currency, including tax per night and per room for the accommodation of the customer and the passengers.

The customer pays for meals (except breakfast), drinks and telephone calls.

  • Onward journey / return home

If the vehicle remains off the road for more than three hours or cannot be repaired on the same day, and the customer does not want to wait on the spot for the vehicle to be repaired, Renault Assistance organizes and pays for the onward journey according to the distance covered between the point of departure and the point where the vehicle is immobilized or the journey back to the usual place of residence, taking the most direct route by:

  • first class train or equivalent
  • economy class aircraft if the journey lasts more than 8 hours
  • first class boat or equivalent
  • taxi, if the vehicle is immobilized less than 100 km from the customer’s usual place of residence
  • any other more suitable means of transport that is locally available
  • replacement vehicle, if the vehicle is immobilized less than 100 km from the customer’s usual place of residence.

The customer can use a replacement vehicle provided by Renault for the time it takes to repair the vehicle, plus the travelling time required to recover the vehicle, starting from the reception of notice that the vehicle is available.

To this end, customers must provide the Renault repairer with details of the place (address and telephone number) where they can be informed that the vehicle is ready.

Once this period has expired, Renault reserves the right to charge the customer for the use of the replacement vehicle.

The customer pays associated costs, such as additional insurance or fuel.

The replacement vehicle can only be used in the country in which the vehicle broke down and must be returned to the point where it was picked up.

Replacement vehicles are not provided for converted vehicles (temperaturecontrolled vehicles, driving school vehicles, taxis, etc.).

This service also includes vehicle's passengers, within the limit specified in the registration document.

  • Recovery of the repaired vehicle

Renault provides the customer or a person designated by the customer with one of the following means of recovering the vehicle, subject to local availability:

  • first class train or equivalent
  • economy class aircraft if the journey lasts more than 8 hours
  • first class boat or equivalent
  • taxi, if the vehicle is immobilized less than 100 km from the customer’s usual place of residence
  • any other more suitable means of transport that is locally available

If the customer used a replacement vehicle to return home or continue the journey, then the said replacement vehicle will always be used instead of the above solutions.

  • Connections

Renault Assistance pays for all travel between stations, hotels, place of residence and the point where the vehicle is left for repair.

4.1.5 – Renault Assistance outside mainland France and Corsica

If the vehicle is immobilized abroad due to a defect covered by the Losange Warranty, Renault Assistance provides the same services that apply in mainland France. Furthermore and in order to take specific local conditions into consideration, Renault Assistance organizes and pays for special

INTERNATIONAL services.

  • If the vehicle is taken to a repairer that does not belong to the Renault network and is unable to achieve a satisfactory quality of repair, the vehicle may be towed to a Renault workshop. In this case, Renault Assistance organizes and fully covers the transfer of the customer and passengers, within the limit specified in the registration document.

If the vehicle is repaired / recovered on a motorway, the customer must pay the costs and will be refunded upon return to France by the Renault establishment that supplied the vehicle.

If the vehicle is off the road for more than three nights, the beneficiaries are entitled to ask to be repatriated to France, and Renault Assistance will provide one of the following means of transport, subject to local availability:

  • first class train or equivalent
  • economy class aircraft if the journey lasts more than 8 hours
  • first class boat or equivalent

The conditions defined above apply to the other services (recovery of the repaired vehicle, replacement vehicle, accommodation, dispatch of parts, connections).

The replacement vehicle can only be used in the country in which the vehicle broke down and must be returned to the point where it was picked up. RENAULT Assistance organizes and covers the above-mentioned services in the following European countries: Andorra, Austria, Belgium, Croatia, Czech Republic, Denmark, Finland, France, Germany, Greece, Hungary, Ireland, Italy, Liechtenstein, Luxembourg, Monaco, Netherlands, Norway, Poland, Portugal, San Marino, Slovakia, Slovenia, Spain, Sweden, Switzerland, the United Kingdom and the Vatican.

4.2 – Anti-Corrosion Warranty

The ordered vehicle is also covered by an Anti-Corrosion Warranty under the following conditions:

4.2.1 – How long does the Anti-Corrosion Warranty last?

For 6 years from the date of delivery or from the date of first registration, and with unlimited mileage.

4.2.2 – What does the Anti-Corrosion Warranty cover?

For all new vehicles weighing less than 3.5 tons, the Anti-Corrosion Warranty covers the repair and replacement of bodywork and chassis parts free of charge (parts, products and labor). The Renault workshop decides whether parts are to be repaired or replaced.

The Anti-Corrosion Warranty does not cover the following:

  • damage due to external causes (stones, scratches, impacts, atmospheric precipitations, animals, plants, chemicals, etc.) or caused by transported products.
  • the exhaust system, chrome-plated parts, wheels.

4.2.3 – How does the Anti-Corrosion Warranty work?

In order to benefit from the Anti-Corrosion Warranty, customers must contact any member of the Renault network showing the brand’s sign, who are the only providers authorized to deliver the corresponding services.

The customer must produce the duly completed maintenance log book (or Renault Service log book) provided with the vehicle, as proof that the periodical maintenance operations and check-ups recommended by the manufacturer have been completed.

The customer must call on the Renault network for the repair of damage revealed during regular services as quickly as possible.

The Anti-Corrosion Warranty does not apply and the vendor shall not be held liable in the following cases:

  • when the vehicle has not been properly maintained, and in particular when the instructions for the treatment, servicing and care of the vehicle included in the Renault Service log book have not been followed
  • the observed damage was caused by the failure to follow the repair methods recommended by the manufacturer or by the use of parts other than original Renault parts.

Parts replaced under the Anti-Corrosion Warranty become the rightful property of Renault.

5 – CANCELLATION - TERMINATION

5.1 – The customer is entitled to terminate the contract and claim the refund of the down payment, plus legal interest, by sending a registered letter:

  •  when the delivery date indicated on the back of this contract is exceeded by more than 7 days for reasons other than force majeure, provided that the vehicle is not delivered between the moment the letter is sent and when it is received.

In accordance with the applicable legislation, the customer exercises this right within 60 working days, starting on the delivery date shown on the back of this contract.

  • If, further to the signing of this contract, the ordered model goes out of production and there are no available vehicles that match the order, and if the customer does not ask for the contract to be transferred to one of the brand’s other models.

5.2 – Renault is entitled to terminate the contract and retain the down payment paid by the customer as compensation, by sending a registered letter:

  • if the customer fails to pay the price of the vehicle within 7 days of the delivery date shown on the back of this contract.
  • If, once this period has expired, the customer has not collected the ordered vehicle, any risks related to the vehicle will be covered by the customer and the designated establishment is entitled to charge a parking fee
  • if the customs authorities refuse to allow the customer to benefit from tax exoneration.

5.3 – The contract will be cancelled by rights and the down payment will be refunded to the customer, plus legal interest, where appropriate:

  • if the financial establishment refuses the customer’s application, under the conditions specified in articles 1.1 and 1.2.
  • if, in cases where the French law N°78.22 of 10.01.1978 applies, the customer exercises the right to withdraw with 7 days of the acceptance of the preliminary offer.

6 – INFORMATION TECHNOLOGY AND INDIVIDUAL FREEDOM

The nominative information supplied by the customer when ordering is essential in order to raise the order. This information remains in our custody and may be disclosed to Renault, its service subsidiaries and members of its sales network in order to deliver a quality service that meets the customer’s needs. It may also be sent to third parties that have business relations with Renault, subject to a nondisclosure agreement. The customer naturally has the right to access this information by contacting us or the Renault Customer Relations Department.

7 – DISPUTES

Any disputes regarding the execution of this contract will be referred to French courts only:

  • if the customer is not a private individual, only the court of the jurisdiction covering Renault’s head office is competent,
  • if the customer is a private individual, the court will be selected accordingly.
